Terms of Service

1. Introduction

Welcome to SoloBase ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the SoloBase application, website, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree with these Terms, you may not access or use the Service. If you are accessing or using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Account Registration

To use the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Subscription and Payment

SoloBase offers subscription-based access to the Service. By subscribing to the Service, you agree to pay the fees described at the time of your purchase. Subscription fees are billed in advance on a monthly basis. You authorize us to charge your designated payment method for all fees incurred.

We offer a 14-day free trial of the Service. At the end of your trial period, you will be automatically charged for your subscription unless you cancel before the trial ends.

You may cancel your subscription at any time through your account settings or by contacting customer support. If you cancel, you will continue to have access to the Service until the end of your current billing period, but you will not receive a refund for any fees already paid.

4. User Content

The Service allows you to store, manage, and share content, including but not limited to text, data, and information ("User Content"). You retain all rights to your User Content, and you are solely responsible for your User Content and the consequences of posting or publishing it.

By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, transfer, display, perform, reproduce, and distribute your User Content solely for the purpose of providing the Service to you. This license terminates when you delete your User Content or your account.

5. Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Use the Service to send unsolicited communications
  • Attempt to interfere with or disrupt the Service
  • Attempt to access accounts or systems without authorization
  • Use the Service to store or transmit malicious code, viruses, or other harmful computer code or material
  • Use automated means or scripts to access the Service or scrape data from the Service without our express written consent

6. Intellectual Property

The Service and its contents, features, and functionality are owned by SoloBase and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written consent.

7. Termination

We may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by following the instructions on the Service. Upon termination, we will delete your User Content according to our data retention policy.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SOLOBASE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

10. Changes to Terms

We may modify these Terms at any time. If we make changes, we will provide notice by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after the changes are posted constitutes your acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the courts located in Delaware.
